EXE Disassempler and assempler

Hi!

I try to dissasemple an EXE and a DLL file. I tried a few tools that
do that but when I try to compile it with an assempler I cant because
of thousand errors!

So can someone tell me where I can find a disassempler for EXE and DLL
files and an assempler (assemply compiler) that will WORK with the
code that the disassempler will give me?
