Other reasons,just off the top of my head:

Financial (Can't afford another IDE)

MS is giving away VS.NET Standard at pretty much every turn. I have two
copies of VS.NET 2005 Standard that I've received for free. One by
attending their launch event (free), the other by watching a handful of
pretty good web training videos (again free).

No desire to have 2 code bases. (I like being able to write in either,
and especially both at the same time. I do a lot of W32 -> .NET Web
Services and ASP.NET)

Well, here's the thing about 2 code bases FMPOV. If I want to do .NET,
it makes sense to leverage the .NET framework itself. Once I do that, I
have code that's not going to work on Win32.

There might be some value in sharing code libraries/business logic, but
interop solutions are "good enough" IMO.
