After reading up a little, it almost looks like Borland is saying it took a $26 million loss after paying over market value for something in Codegear??? I'm missing something here.

To me, it sounds like Borland has estimated the value of "things to become CodeGear" at $26 million, and once CodeGear became a separate entity, Borland had to remove "CodeGear items" from Borland's inventory, which resulted in a $26 million "loss" on Borlands accound in favor of CodeGear. Nothing unusual when a company splits in two.
