Is there any free tool available on web, which can create a UML tree
out of a given C++ code. The project exists in .NET, so it would be
good if tool directly takes .dsp as input.

Any of the tools supporting round-trip development should be able to do that (e.g., Together, Rational Rose, NetBeans, et al). I got 29K hits when I googled "reverse engineering tool round-trip". Pick one.
